These terms govern your use of Signal & Noise Tools and your membership purchased through store.sntools.dev. By purchasing a membership, you agree to these terms.
 
1. PROPRIETARY SOFTWARE LICENSE
 
Signal & Noise Tools is proprietary, closed-source software. Your membership grants you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of the software on one server for your own business operations.
 
You may NOT:
- Copy, reproduce, duplicate, or clone the software or any part of it
- Redistribute, sublicense, resell, lease, rent, or share the software with any third party
- Modify, adapt, translate, or create derivative works based on the software
- Reverse-engineer, decompile, disassemble, or attempt to derive source code logic, algorithms, data structures, or architecture from the software
- Remove, alter, or obscure any proprietary notices, license keys, verification mechanisms, or branding within the software
- Use the software to build or contribute to a competing product or service
- Share, publish, or disclose any portion of the source code, documentation, or internal architecture in any form (including screenshots of code, code snippets, or technical descriptions)
- Transfer your license key or installation to another person or entity
- Operate the software on more than one server or instance per license key
 
Any violation of these terms constitutes immediate grounds for license revocation without refund.
 
2. LICENSE KEY AND VERIFICATION
 
Each membership includes one license key bound to one server instance. The software performs a daily verification check against sntools.dev. Tampering with, bypassing, disabling, or circumventing the license verification system is a material breach of these terms and may subject you to legal action.
 
You may transfer your license to a different server by deactivating it first through the software's settings, then reactivating on the new server. Only one active installation is permitted at any time.
 
3. THE PRODUCT
 
Signal & Noise Tools is a self-hosted web application for freelance business management. Your membership includes access to the software, a license key, and ongoing updates for as long as your membership is active.
 
4. MEMBERSHIP AND PRICING
 
Memberships are billed monthly or annually through Fourthwall. Your price is locked at the rate you pay at signup for as long as your membership remains continuously active. If you cancel and later resubscribe, the current tier pricing at that time applies.
 
All tiers include the same product with the same features and updates. There are no feature gates between tiers.
 
5. YOUR DATA
 
You host the software on your own server. We have no access to your business data. You are solely responsible for backups, server security, and compliance with applicable laws in your jurisdiction.
 
6. UPDATES
 
Updates are delivered through the built-in auto-updater and are included for active members. We are not obligated to provide any specific features, fixes, or update schedule.
 
7. ENFORCEMENT
 
We reserve the right to monitor license key usage for compliance purposes. If we reasonably determine that you have violated Section 1 (Proprietary Software License) or Section 2 (License Key and Verification), we may:
- Immediately revoke your license key without prior notice
- Terminate your membership without refund
- Pursue legal remedies including injunctive relief and damages
 
8. NO WARRANTY
 
The software is provided "as is" without warranty of any kind. We do not guarantee uninterrupted operation, compatibility with every hosting environment, or fitness for a particular purpose. We are not liable for data loss, downtime, or any damages arising from your use of the software.
 
9. LIMITATION OF LIABILITY
 
Our total liability to you for any claim arising from your membership or use of the software is limited to the amount you paid in the 12 months preceding the claim. This limitation does not apply to claims arising from your violation of Section 1.
 
10. CANCELLATION
 
You may cancel your membership at any time through the store. Cancellation takes effect at the end of your current billing period. Upon cancellation, your license key will be deactivated at the next daily verification check. You must delete all copies of the software from your server within 14 days of cancellation.
 
11. TERMINATION
 
We reserve the right to terminate your membership and revoke your license if you violate these terms. Upon termination for cause, you must immediately cease all use of the software and delete all copies.
 
12. SURVIVAL
 
Sections 1 (Proprietary Software License), 7 (Enforcement), 8 (No Warranty), 9 (Limitation of Liability), and this Section 12 survive termination of your membership.
 
13. CHANGES
 
We may update these terms. Material changes will be communicated via email. Continued membership after changes constitutes acceptance.
 
14. GOVERNING LAW
 
These terms are governed by the laws of the State of Florida, United States. Any disputes arising under these terms shall be resolved in the courts of Orange County, Florida.
